Terms of Use

1. About these terms

Prudixa is operated by Andrew Murphy Consulting Pty Ltd (ABN 54 644 714 670), trading as Prudixa (“Prudixa”, “we”, “us” or “our”).

These Terms of Use apply to our website at www.prudixa.com and our AI-wallet platform.

In these terms:

• “Customer” means the organisation purchasing or using Prudixa to arrange wallets.
• “Administrator” means a person authorised to manage Prudixa on a customer’s behalf.
• “Participant” means a candidate, event attendee or other person invited to use a wallet.
• “You” means the person or organisation using the relevant part of our website or platform.

Customers must accept these terms at checkout before completing their subscription purchase. If you accept on behalf of an organisation, you confirm that you have authority to enter into the agreement on its behalf.

Participants must accept the terms relevant to their use when first accessing a wallet. Participants do not need authority to represent the customer and are not responsible for the customer’s subscription charges or wallet funding.

If you do not agree to the applicable terms, you must not proceed with the purchase or use the platform.

If we enter into a separate written agreement with a customer, that agreement takes priority to the extent it expressly varies these terms. Any separate consulting or implementation services are governed by their own agreed proposal or service terms.

2. Our services

Prudixa provides AI wallets that organisations can fund and manage for candidates and event attendees.

Customers can add funds, top up wallets, adjust expiry dates, view wallet information and reallocate unused funds to another participant’s wallet.

Participants can connect their wallets to compatible AI coding tools, subject to the requirements of the assessment or event and the relevant tool provider.

Prudixa provides the wallets and wallet-management platform. Customers provide the funding. We do not provide the underlying AI tools, conduct technical assessments or make hiring decisions.

Available features and limits are those described in the plan or order accepted by the customer.

3. Accounts and access

To purchase a subscription on behalf of an organisation, you must be at least 18 years old, have legal capacity to enter into these terms and be authorised to bind that organisation.

Customers are responsible for selecting wallet recipients and ensuring their participation meets applicable legal requirements and the eligibility requirements of any connected AI tools, including any age restrictions or parental consent requirements.

You must provide accurate account information and take reasonable steps to protect your account credentials, wallet links and access keys. Please notify us promptly at [email protected] if you suspect unauthorised access or misuse.

4. Subscriptions, fees and payment

Customers are responsible for the subscription charges and other fees agreed to when purchasing Prudixa. Subscription charges are separate from money added to wallets. Any applicable one-off charges will be disclosed before purchase.

The price, currency, billing frequency, included features and applicable taxes will be shown before you complete your purchase.

Payment processing

We use Stripe as our third-party payment processor for subscription payments and wallet funding.

Customers must provide accurate billing information and use a payment method they are authorised to use. By confirming a purchase, you authorise Prudixa, through Stripe, to charge the amount shown at checkout to your selected payment method.

For monthly subscriptions, this authorisation includes recurring subscription charges until cancellation takes effect under these terms. Wallet top-ups are separate transactions and are not included in your subscription charge.

Prudixa remains responsible for administering your subscription and addressing billing enquiries and any refund rights under these terms and applicable law. For payment or billing questions, contact [email protected].

Monthly subscriptions

Monthly plans renew automatically each month unless cancelled. By purchasing a monthly subscription, you authorise recurring charges to your selected payment method.

Cancellation

You can cancel at any time through Account Settings in your Prudixa dashboard. No advance notice period is required.

Cancellation takes effect at the end of your current billing period. You can continue using your plan until then, and it will not renew. To avoid the next renewal charge, cancel before your next billing period begins.

Changing your plan

You can upgrade or downgrade your subscription at any time through Account Settings in your Prudixa dashboard.

Upgrades take effect immediately. Any additional charge will be calculated proportionately for the remainder of your current billing period and shown before you confirm the change.

Downgrades take effect at the start of your next billing period. You will retain your current plan’s features until then, and the lower subscription price will apply from your next renewal.

Changing your subscription does not itself add funds to your wallets. Wallet funding remains separate from subscription charges.

Failed payments

If a subscription payment fails, we will notify you and give you an opportunity to update your payment details. Our payment provider may retry the payment during a two-week recovery period.

If payment remains outstanding at the end of that period, we may cancel your subscription and restrict access to paid features.

The treatment of unused wallet balances is explained in section 6.

Nothing in this section limits any refund or cancellation rights you have under applicable law.

5. Wallet funding and usage

Customers choose how much money to add to wallets and allocate to participants. Wallet funding is separate from Prudixa subscription charges.

The top-up amount and currency will be shown before the customer confirms payment. A top-up is credited to the wallet after successful payment confirmation. Where the wallet has a negative balance, the top-up first offsets that balance, with the remainder becoming available for use.

Participants can use their allocated funds towards AI usage through compatible tools of their choice, subject to the customer’s assessment or event requirements. Wallet funding does not automatically cover separate subscriptions or services purchased directly from an AI-tool provider.

Prudixa does not set the underlying AI usage prices or add a markup to those prices. We do not charge wallet-funding or currency-conversion fees.

Customers can view wallet information and manage funding and expiry dates using the available platform controls. Participants can view their remaining allowance in their dashboard.

When the available allowance is exhausted, new AI requests through the wallet are blocked. The participant will see an error in their connected coding tool and a dashboard message explaining that their allowance has been used up.

Usage already in progress may take the wallet balance below zero. An allowance is therefore not a guaranteed maximum spend.

Any negative balance is carried forward and deducted from the customer’s next wallet top-up before the remaining funds become available for use. For example, if the balance is −$1.20 and the customer adds $20, the available balance becomes $18.80. This deduction covers previously incurred AI usage; it is not an additional Prudixa fee.

Participants may request additional allowance from the customer. Requests are not automatically approved, and participants are not personally responsible for funding the wallet or clearing its negative balance.

6. Expiry, unused balances and refunds

Customers can set and adjust wallet expiry dates and reallocate unused funds to another participant’s wallet using the available platform features.

Reallocating unused funds is different from withdrawing money or receiving a cash refund.

7. Acceptable use

You must use Prudixa lawfully and must not:

• Access another person’s account or wallet without permission.
• Use stolen payment details or provide false information.
• Bypass access controls, usage restrictions or security measures.
• Interfere with the platform or other people’s use of it.
• Upload malicious software or unlawful material.
• Infringe another person’s intellectual property, privacy or other rights.
• Use the platform for fraud, harassment or other harmful or unlawful activity.

Participants must also comply with the applicable terms of the AI tools they connect to.

8. Third-party AI tools

Supported AI tools are operated by third parties and may have their own account, subscription, setup, usage and privacy requirements.

Compatibility with a tool does not mean that every feature or subscription offered by that provider is included.

AI outputs may be inaccurate, incomplete or unsuitable for a particular purpose. Customers and participants should review outputs before relying on them. Customers remain responsible for their assessment requirements, evaluation methods and hiring decisions.

Third-party changes or outages may affect connected tools. This does not remove any responsibility Prudixa has under its agreement with you or applicable law.

9. Your content and intellectual property

Prudixa’s branding, software, documentation and other materials belong to us or our licensors.

You may use those materials as reasonably necessary to access and use the service. Except as permitted by law or with our permission, you must not copy, sell, distribute or modify them.

As between you and Prudixa, you retain any rights you hold in materials you upload or submit. You must have the necessary rights and permissions to provide those materials.

You grant us a non-exclusive licence to host, process, transmit and display those materials only as needed to provide the service to you and your authorised users, using our service providers where necessary.

These terms do not transfer ownership of customer or participant materials to Prudixa. Rights relating to third-party AI outputs may also depend on the relevant provider’s terms and applicable law.

10. Privacy and confidential information

Our Privacy Policy explains how we collect, use and disclose personal information through the website and platform.

We use Stripe to process subscription payments and wallet top-ups. Information necessary to process and administer those payments is shared with Stripe. Stripe handles personal information as described in its Privacy Policy.

Customers providing participant information must have an appropriate lawful basis to do so and give participants any required notices.

You must not upload another person’s confidential information or personal information unless you are authorised to do so and its use is appropriate for the service and connected AI tool.

11. Availability and support

We will use reasonable care and skill in providing Prudixa.

Maintenance, technical issues and third-party dependencies may occasionally interrupt access. Where reasonably practical, we will give notice of planned maintenance likely to materially affect customers.

Any specific support hours, response times or availability commitments must be set out in the applicable plan or a separate written agreement.

Customers should retain their own copies of important assessment materials.

12. Suspension and termination

We may suspend or restrict access where reasonably necessary to address a material breach of these terms, suspected fraud, a security risk or a legal requirement.

Where practical and appropriate, we will explain the issue and give you a reasonable opportunity to resolve it. Urgent security or legal issues may require immediate action.

Any restriction will be proportionate to the issue. Where the issue is resolved, we will restore access unless there is a lawful reason not to.

We may terminate access for a serious breach or a material breach that is not remedied after reasonable notice.

Customers may cancel their subscriptions under the process described in Section 4. Participants may stop using their wallets at any time, but doing so does not cancel the customer’s subscription.

13. Your legal rights and our liability

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.

Any limitation of liability must be read subject to those rights.

14. Changes to these terms

We may update these terms to reflect changes to our services, legal requirements or reasonable operational needs.

We will publish updated terms on our website and identify their effective date. Changes will not apply retrospectively.

For changes that materially disadvantage existing customers, we will provide direct advance notice and explain the customer’s options, including any right to cancel before the change takes effect without an additional cancellation penalty.

Where an urgent legal or security requirement prevents advance notice, we will explain the change as soon as reasonably practical.

15. Governing law and disputes

These terms are governed by the laws of Victoria, Australia.

Subject to any mandatory rights under applicable law, you and we submit to the non-exclusive jurisdiction of the courts of Victoria and courts entitled to hear appeals from them.

If you have a concern, please contact us so we can try to resolve it. This does not prevent either party from seeking urgent relief or exercising a legal right.
